Aletyx Offering Specific Terms

These Offering Specific Terms supplement the Aletyx General Terms and Order Form and govern Customer’s licensing of Aletyx Decision Intelligence or Aletyx Intelligent Process Automation software, as described in the applicable Order Form (the “Offering”). Capitalized terms not defined herein have the meanings set forth in the General Terms or the Order Form.

Aletyx Decision Intelligence comprises a fully supported enterprise distribution incorporating Drools, jBPM, and Kogito open source components enhanced with Aletyx proprietary architecture, execution engines, and management capabilities for business rules and decision automation. The Aletyx Decision Intelligence offering provides deterministic decision processing without persistent state management across decision execution cycles.

Aletyx Intelligent Process Automation extends the complete Aletyx Decision Intelligence capability set through the addition of stateful process orchestration, workflow persistence, and long-running transaction management. Aletyx Intelligent Process Automation maintains full decision automation functionality while enabling complex, multi-step business process automation with durable state transitions and temporal process coordination.

  1. License Grant. Subject to Customer’s compliance with the Agreement and payment of applicable Fees, Aletyx grants Customer a non-exclusive, non-transferable, term-limited right to deploy and use the Offering described in the applicable Order Form in accordance with the purchased Tier specified in the applicable Order Form.

    1.1 Deployment Rights.

    (i) For Pioneer, Innovator, Horizon, and Keystone Tiers: Customer may deploy the Offering on unlimited cores, processors, nodes (physical or virtual), and instances solely for Customer’s internal business operations. An Order Form may further define the scope of authorized use, including by specifying the business initiative, project, or use case for which the Offering is licensed.

    (ii) For Origin Tier: Customer may deploy the Offering on nodes (physical or virtual) and instances solely for Customer’s internal business operations, subject to Production CPU Core limits as specified in Section 2 and the applicable Order Form.

    1.2 Deployment Restrictions. Customer may not incorporate, embed, or integrate the Offering into any software, platform, solution, or service offering that is distributed, licensed, sold, or otherwise made available to third parties. If Customer wishes to do any of the above, Customer should contact Aletyx to discuss the appropriate license for such distribution or use.

    1.3 General Restrictions. Customer shall not: (i) access Offering features or functionality not included in Customer’s purchased Tier, (ii) circumvent any technical limitations or license enforcement mechanisms; (iii) reverse engineer, decompile, or disassemble the Offering; (iv) use the Offering for competitive analysis or benchmarking; or (v) remove or obscure any proprietary notices.

    1.4 Entity Scope.

    (a) Licensed Entity. The license granted hereunder is limited to the single legal entity identified as the Customer in the applicable Order Form (the “Licensed Entity”). The Licensed Entity may permit its employees, contractors, and authorized agents to access and use the Offering solely in the course of performing work for the Licensed Entity’s internal business operations.

    (b) Affiliate Use. Use of the Offering by any Affiliate of the Licensed Entity is subject to the following restrictions based on the applicable Tier:

    (i) Origin, Pioneer, Innovator, and Horizon Tiers: Use of the Offering is restricted to the Licensed Entity. No Affiliate may access or use the Offering in connection with such Affiliate’s business operations without purchasing a separate subscription under a separate Order Form.

    (ii) Keystone Tier: The Licensed Entity may extend use of the Offering to one or more Affiliates as specified in the applicable Order Form. The Order Form will identify any Affiliate included in the base subscription and the terms under which additional Affiliates may be authorized for production use, which may include execution of a Participation Addendum and payment of additional fees. The Licensed Entity shall remain responsible for each Affiliate’s compliance with the Agreement.

    (c) Production Use. For purposes of this Section, an Affiliate engages in “production use” when it operates production systems that initiate, or cause the initiation of, requests to the Offering in connection with such Affiliate’s business operations. Merely receiving or relying upon outputs generated by the Offering does not constitute production use by an Affiliate. Development, testing, and validation activities conducted in non-production environments do not constitute production use.

    (d) No Implied Rights. No agreement between a reseller, distributor, partner, or other intermediary and any third party shall expand the entity scope granted under this Section or the applicable Order Form. Only an Order Form or Participation Addendum executed by Aletyx may authorize Affiliate use of the Offering.

  2. Offering Tiers. Offering capabilities for each Tier are described in the Documentation. Aletyx reserves the right to modify Offering functionality provided that such modifications do not materially adversely affect the Offering during the applicable subscription term. Each Offering is available in the following Tiers:

    - Origin. License to the Aletyx Decision Intelligence Offering with Horizon Tier features, excluding Decision Control and Model Context Protocol (MCP) functionality, limited to ten (10) Production CPU Cores across all production instances, and technical support as described in the Support Terms for the Origin Tier.

    - Pioneer. License to the Offering and technical support as described in the Support Terms for the Pioneer Tier.

    - Innovator. Everything in the Pioneer tier plus (i) Decision Control with Model Context Protocol (MCP) functionality is included in the Offering and (ii) technical support as described in the Support Terms for the Innovator Tier.

    - Horizon. Everything in the Innovator tier plus (i) Innovator capabilities, clustering support for Decision Control, and enhanced legacy compatibility features are included in the Offering, and (ii) technical support as described in the Support Terms for the Horizon Tier.

    - Keystone. Everything in the Horizon tier plus additional features and services as specified in the applicable Order Form.

  3. SUBSCRIPTION TERMS

    3.1 Initial Term. Unless otherwise specified in an Order Form, the initial Subscription term is one (1) year from the date specified in the Order Form.

    3.2 Automatic Renewal. The Subscription will automatically renew for successive one-year terms at Aletyx’s then-current rates unless either party provides written notice of non-renewal at least thirty (30) days before the current term expires.

    3.3 Tier Modifications.

    • Upgrades: Customer may upgrade to a higher Tier at any time by paying the pro-rated difference for the remainder of the current term.

    • Downgrades: Tier downgrades are permitted only upon renewal. Customer acknowledges that downgrading may require removal of Tier-specific features from Customer’s environment.

    3.4 Effect of Expiration or Termination. Upon expiration or termination of a Subscription for any reason: (a) Customer shall immediately cease all use of the Offering, including all deployed instances, container images, and derivative configurations; (b) Customer shall delete or destroy all copies of the Offering in Customer’s possession or control within thirty (30) days of the effective date of expiration or termination; and (c) Customer shall, upon Aletyx’s written request, certify in writing that such deletion or destruction has been completed. Customer’s obligation to cease use applies regardless of whether the Offering remains technically operable in Customer’s environment. Nothing in this Section limits Customer’s right to retain and export Customer’s own data, decision models, and business rules created using the Offering, provided that such retention does not require continued operation of the Offering.

  4. System Requirements. The Offering’s minimum system requirements, supported platforms, and compatibility matrices are described in the Documentation.

  5. Verification. Customer shall provide information reasonably requested by Aletyx to confirm Customer’s compliance with the Agreement. Upon reasonable notice, Aletyx may independently verify Customer’s compliance with the Agreement through a standard review of Customer’s use of the Offering.

  6. Definitions.

    “Documentation” means the product documentation provided at docs.aletyx.ai and the Knowledge Base articles on my.aletyx.ai

    “Participation Addendum” means an addendum to an Order Form, in a form provided by Aletyx, that authorizes a specific Affiliate of the Licensed Entity to use the Offering in production and specifies the applicable fees and terms for such use.

    “Production CPU Cores” means the logical CPU cores allocated to instances of the Offering that are actively processing live business transactions in a production environment, excluding cores allocated exclusively to development, testing, staging, or quality assurance environments. Where an instance serves both production and non-production workloads, all cores allocated to that instance count as Production CPU Cores.

    “Support Terms” means aletyx.ai/legal-aletyx-support-terms/
